นาย ก.และ นาย ข.จะทำสัญญาวางมัดจำค่าที่ดิน โดยนาย ก เป็นเจ้าของที่ดิน ตกลงจะซ้อขายกันในราคา หนึ่งล้านเจ็ดแสนบาท แต่นาย ข จะวางมัดจำเป็นเงิน ห้าแสนบาท โดยให้นาย กโอนลอยกรรมสิทธิ์ที่ดินให้นาย ข อยากถามว่าจะทำสัญญาวางมัดจำอย่างไรที่จะทำให้สัญญานี้สมบูรณ์ถูกต้องตามกฎหมายไม่ถูกเอาเปรียบ
